These Terms of Use incorporate the Privacy Policy posted on the http://www.ezgil.az and www.uimconsulting.com, as well as the terms of any subscriber agreement that may exist between you and Ezgil Medical Technologies LLC in relation to the use of Sağlamlıq app. To the extent there is a conflict between these Terms of Use and your subscriber agreement, the terms of your subscriber agreement will control your use of the Sağlamlıq application. Please read these Terms of Use carefully. If you do not agree with these Terms of Use, please do not use the Sağlamlıq application and any directly associated with it services or web sites.
The Sağlamlıq, including the text, graphics, and software that appear on the Sağlamlıq application (and web site in the future), is owned by or licensed to Ezgil Medical Technologies LLC and its subsidiary (co-owned) Ezgil Medical Technologies LLC, and is subject to copyright and other intellectual property rights under Azerbaijan Republic, foreign laws and international conventions.
Users may not re-post Sağlamlıq's content on other applications or web sites without the permission of Ezgil Medical Technologies LLC and its subsidiary (co-owned) Ezgil Medical Technologies LLC. User cannot re-sell Sağlamlıq's content to third parties, or prepare derivative works of Sağlamlıq's content.
The Sağlamlıq application (and in the future Sağlamlıq web site) is designed to offer users general health information for educational purposes only. These actions are subject only to any terms in your subscriber agreement, as applicable.
Ezgil Medical Technologies LLC and any of its subsidiaries, including co-owned Ezgil Medical Technologies LLC reserve all of their rights in the Sağlamlıq application and in the future website not expressly granted to you by these Terms of Use.
If you create a subscriber account for the Sağlamlıq mobile application or web site, you agree to complete the registration process by providing current, complete, and accurate information as required by Ezgil Medical Technologies LLC. You are responsible for all activities that occur under your account. You agree to notify Ezgil Medical Technologies LLC immediately of any unauthorized use of your account or any other breach of security. Ezgil Medical Technologies LLC will not be liable for any loss that you may incur as a result of someone else using your account, either with or without your knowledge. In addition, you may be held liable for any losses incurred by Ezgil Medical Technologies LLC or another party due to someone else using your account. You may not use anyone else's account at any time.
These Terms of Use incorporate the entirety of our Policy (www.ezgil.az) posted on the Ezgil Medical Technologies LLC's web site which is co-owned by Ezgil Medical Technologies LLC.
You agree not to use the Sağlamlıq for any purpose that is unlawful or prohibited by these terms, or the terms of a subscriber agreement you have with Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC, if applicable. You may not use the Sağlamlıq in any manner that could damage, disable, overburden, or impair any server of Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC, or the network(s) connected to any server or Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC, or interfere with any other party's use and enjoyment of the Sağlamlıq. You may not attempt to gain unauthorized access to any portion of the Sağlamlıq, other accounts, computer systems, or networks connected to any server of Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC, through hacking, password or data mining, or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you on the Sağlamlıq.
NEITHER Ezgil Medical Technologies LLC, NOR ANY PARENT, SUBSIDIARY (including Ezgil Medical Technologies LLC), AFFILIATE, DIRECTOR, EMPLOYEE, LICENSOR, LICENSEE, DISTRIBUTOR, SUPPLIER, AGENT, OR RESELLER OF Sağlamlıq (COLLECTIVELY, THE "Sağlamlıq ENTITIES") MAKE ANY WARRANTY OR REPRESENTATION, EXPRESSED OR IMPLIED, WITH RESPECT TO THE Sağlamlıq SERVICES, WHICH ARE PROVIDED "AS IS", OR WITH RESPECT TO THESE TERMS OF USE. THE Sağlamlıq ENTITIES EXPRESSLY EXCLUDE AND DISCLAIM ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USE OF TRADE. Sağlamlıq has the right at any time to change, modify, add to, discontinue, or retire any aspect or feature of the Sağlamlıq including, but not limited to, hours of availability, equipment needed for access or use, or the availability of the Sağlamlıq on any particular device or communications service. Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC has no obligation to provide you with notice of any such changes, and Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC is under no obligation to provide you with any support, error corrections, updates, upgrades, bug fixes, and/or enhancements of the Sağlamlıq, except as provided by your subscriber agreement with Sağlamlıq, if applicable.
IN NO EVENT WILL THE Sağlamlıq ENTITIES OR ANY OTHER PARTY WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, DISTRIBUTION, PROMOTION, OR MARKETING OF THE Sağlamlıq OR THESE TERMS OF USE BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, RELIANCE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA OR PROFITS, OR FOR INABILITY TO USE THE Sağlamlıq, EVEN IF THE Sağlamlıq ENTITIES OR SUCH OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless the Sağlamlıq Entities from all liabilities, claims, and expenses, including attorneys' fees, that arise from your use of the Sağlamlıq. Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC in asserting any available defenses.
Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC may modify these Terms of Use from time to time and changes will be effective upon posting to the Sağlamlıq. You agree to be bound by any modification of these Terms of Use when you use the Sağlamlıq, effective after their posting to the Sağlamlıq. It is therefore important that you review these Terms of Use regularly to ensure you are updated as to any changes.
Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC respects the intellectual property of others. If you believe that your copyrighted work has been copied and is accessible on the Sağlamlıq in a way that constitutes copyright infringement, you may send a notification of claimed copyright infringement to Ezgil Medical Technologies LLC or its subsidiary Ezgil Medical Technologies LLC with detailed information about your work as well as

a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law

You agree to pay all fees (including any overage charges) for using Sağlamlıq that you have purchased or used by the pricing and payment terms. Where applicable, you will be billed according to the billing method you have chosen from your account management page. All fees paid by you, otherwise stated in these Terms or unless it is legally required, are non-refundable.
For using Sağlamlıq you are billed according to subscriptions (from now on referred to as “Subscriptions”). This means that you will be charged in a periodically repeating manner (each period is called a “billing period”). Billing periods are monthly or annual, based on which subscription plan you choose while purchasing a Subscription. Your subscription shall be automatically renewed after each billing period unless you cancel the automatic renewal from your online account management page or contact our customer support service. Although it saddens us to see you leave, you can cancel the automatic Subscription renewal any time you want; in such an event, your subscription will continue before cancellation until the end of that billing period. If you do not wish to renew the automatic renewal on your Subscription, you can turn it off as soon as your Subscription starts.
Unless otherwise stated, you shall be responsible for all taxes (except for the income tax of Ezgil Medical Technologies LLC) and legal fees related to the sales of the Services, including all related fines and interests (from now on collectively referred to as “Taxes”). You shall make payments to Ezgil Medical Technologies LLC for the Services without any tax deductions. If Ezgil Medical Technologies LLC enters the obligation to collect or pay Taxes, unless you provide Ezgil Medical Technologies LLC a valid tax exemption certificate obtained from the appropriate taxing authority, a tax number obtained from an appropriate tax office, or any other document stating that no taxes shall be accrued, Taxes shall be billed to you. If laws require you to withhold some Taxes from the payments you make to Ezgil Medical Technologies LLC, you have to provide an official tax receipt or another appropriate document that supports the payments in question to Ezgil Medical Technologies LLC.
Ezgil Medical Technologies LLC can make changes on the prices of Services at any time, provided that for Services billed on a subscription basis, the changes shall be in effect only for the current billing period of your subscription. Ezgil Medical Technologies LLC shall make a written notification to you regarding any change in prices, at a reasonable time before the changes go into effect, to give you time to cancel your renewal before the changes go into effect.
Unless otherwise stated, all kinds of overage charges incurred in your name shall be billed on a monthly basis with a delay. Overage charges not paid within 20 days after billing are deemed overdue. Overdue overage charges not being paid may result in the restriction, suspension or termination of the valid Service (by applicable legal requirements), and your data related to the Service in question may be lost.
Sağlamlıq mobile application subscription: All personal subscriptions include Sağlamlıq Online, which provides access to Sağlamlıq on your mobile device with a personal user name and password. Individual subscribers can download Sağlamlıq mobile application for free.
Through Sağlamlıq app you can earn and track free CME credits for researching clinical questions.
